Service Scope & Deliverables

Engagements are defined in Statements of Work (SOW) detailing audit hours, coaching sessions, and tool configurations. Deliverables include: analytical reports (PDF), workflow automations (Zapier configurations), and access to proprietary templates. Revisions require written request; minor tweaks within 5 business days incur no charge.

Payment, Cancellation & Force Majeure

Invoices due net 15; late payments accrue 1.5% monthly interest. Cancellations with 30 days notice receive 80% refund; within 14 days, 50%. Force majeure clauses include pandemics, natural disasters, and major platform outages. In such events, services resume within 30 days of resolution.

Intellectual Property & Confidentiality

Client retains all rights to pre-existing IP. Our methodology and frameworks (e.g., Agile Tempo) remain our IP; client receives perpetual license for internal use. NDA covers all shared financial data and strategic plans. Breach triggers liquidated damages of $10,000 per incident.

Limitation of Liability & Governing Law

Liability limited to fees paid in prior 12 months. No liability for indirect damages including lost profits. Governed by laws of New York State; disputes resolved via binding arbitration in Manhattan under AAA rules.
